Head of Corporate & Regulatory Affairs
Job Description / Responsibility
A. Regulatory Compliance
Ensure compliance with all applicable laws, rules, and regulations (e.g., company law, sector-specific regulations).
Monitor regulatory changes and advising management on impact and required actions.
Oversee maintenance of statutory registers, licenses, permits, renewals, and corporate records.
Prepare, review, and submit statutory filings, licenses, renewals, and regulatory reports.
Research, analyze, and prepare statistical reports using sales, gross profit, inventory, and other operational data from various businesses, functions, and departments, consolidating the information into clear and actionable insights to support management decision-making.
Collaborate with management to develop and implement measures that safeguard company assets and profitability.
B. Government & Regulator Liaison
Act as the primary point of contact with regulators, ministries, statutory authorities, and government agencies.
Manage regulatory filings, submissions, inspections, audits, and official correspondence.
Coordinate responses to regulatory notices, inquiries, and compliance issues.
Represent the company in regulatory meetings, hearings, and discussions as required.
Build and maintain constructive relationships with key regulatory stakeholders.
C. Risk & Policy Advisory
Identifying regulatory and compliance risks and recommending mitigation measures.
Interpreting laws and regulations and translating them into internal policies and procedures.
Supporting crisis management and regulatory issue resolution.
D. Corporate Governance
Supporting Board and management on governance matters.
Maintaining statutory records, registers, resolutions, and minutes.
Ensuring compliance with corporate policies, codes of conduct, and governance frameworks.
E. Stakeholder & Reputation Management
Coordinating with legal, finance, HR, and operations to ensure consistent compliance.
Supporting corporate disclosures and public communications where required.
Protecting the company's regulatory standing and corporate reputation.
F. Reporting & Business Reviews
Prepare periodic compliance and regulatory status reports for Senior Management and the Board.
Track regulatory commitments, action items, and closure status through structured reporting.
Conduct regular internal compliance reviews and assessments.
Support strategic planning by providing regulatory inputs for new products, services, or market entry.
Monitor industry and regulatory trends to anticipate future compliance requirements.
Educational Requirements
- Bachelor/Honors
Experience Requirements
- 10 to 15 year(s)
- The applicants should have experience in the following business area(s):
- Telecommunication,Training Institutes,Software Company,IT Enabled Service,Group of Companies,Share Brokerage/ Securities House,Immigration/Visa Processing,Venture Capital Firm
Additional Requirements
- 10–15 years of experience in Corporate Affairs, Regulatory Affairs, Compliance or Governance roles.
- Strong exposure to regulatory frameworks and government liaison in Bangladesh.
- Experience working with senior leadership, boards, and external regulators.
- Excellent communication skills in Bangla and English.
- Experience in Regulatory interpretation and advisory.
- Experience in Government and regulator liaison management.
- Experience working in Telecommunication, Software Company, IT Enabled Service, Group of Companies.
